The foundation was established by Adil Abdel Aati under a notarial deed drawn up on 20 May 2022 by notary Alina Cytryńska at her office in Warsaw, Al. Solidarności 155/5. It was entered in the National Court Register on 15 June 2022 under number 0000977401 by the District Court for the Capital City of Warsaw, 12th Commercial Division. One to three members. It appoints and dismisses the President and members of the Board, decides on their employment and remuneration, assesses the Board's work, approves annual reports, controls current activity, sets the main directions of the foundation's work, and decides on merger or liquidation. It meets at least once a year and decides by simple majority; the Chair has the casting vote.Od jednego do trzech członków. Powołuje i odwołuje Prezesa oraz członków Zarządu, decyduje o ich zatrudnieniu i wynagrodzeniu, ocenia pracę Zarządu, przyjmuje roczne sprawozdania, kontroluje bieżącą działalność, wytycza główne kierunki działalności fundacji oraz decyduje o połączeniu lub likwidacji. Zbiera się co najmniej raz w roku i podejmuje decyzje zwykłą większością głosów; przy równej liczbie głosów rozstrzyga głos Przewodniczącego.
Management BoardZarząd Fundacji
One to five members appointed by the Council for a three-year term; the first Board was appointed by the founder. The Board directs the foundation's work and represents it. It adopts annual plans of activity and financial plans and internal rules, manages the foundation's assets, sets staffing and pay, accepts donations, inheritances, bequests, subsidies and grants, and decides all matters not reserved to other bodies.Od jednego do pięciu członków powoływanych przez Radę na trzyletnią kadencję; pierwszy Zarząd powołał fundator. Zarząd kieruje działalnością fundacji i reprezentuje ją na zewnątrz. Change, merger, and the end of the foundationZmiana, połączenie i likwidacja
Changes to the statute are made by the Foundation Council (§ 20). The foundation may merge with another foundation in order to pursue its aims more effectively, but not if the merger would substantially change its purpose; such a decision requires a unanimous resolution of the Council (§ 21–§ 22).Zmian w statucie dokonuje Rada Fundacji (§ 20). Fundacja może połączyć się z inną fundacją dla efektywniejszej realizacji swoich celów, jednak nie wtedy, gdy w wyniku połączenia istotnej zmianie uległby jej cel; decyzja w tej sprawie wymaga jednomyślnej uchwały Rady (§ 21–§ 22).
The foundation is wound up if it achieves the aims for which it was established, or if its funds and assets are exhausted. The decision is taken by unanimous resolution of the Council, which also appoints the liquidators. Any remaining funds and assets may be assigned by resolution of the Council to foundations operating in Poland with similar aims (§ 23–§ 25).Fundacja ulega likwidacji w razie osiągnięcia celów, dla których została ustanowiona, lub w razie wyczerpania się jej środków finansowych i majątku. Decyzję podejmuje Rada w drodze jednomyślnej uchwały; Rada powołuje też likwidatorów. Środki i majątek pozostałe po likwidacji mogą zostać przeznaczone uchwałą Rady na rzecz działających w Polsce fundacji o zbliżonych celach (§ 23–§ 25).
