Statute of the United Peace Organisation Foundation

General provisions

§ 1

  1. The foundation under the name United Peace Organisation, hereinafter the Foundation, established by Adil Abdel Aati, hereinafter the founder, by notarial deed drawn up by notary Alina Cytryńska at the notarial office in Warsaw, Al. Solidarności 155/5, 00-877 Warsaw, on 20 May 2022, acts on the basis of the provisions of Polish law and of this statute.
  2. The Foundation is non-political and is not connected with any religious denomination.

§ 2

The Foundation has legal personality.

§ 3

The seat of the Foundation is the capital city of Warsaw.

§ 4

  1. The area of activity of the Foundation is the territory of the Republic of Poland; to the extent necessary for the proper pursuit of its aims, it may also conduct activity outside the Republic of Poland.

§ 5

The Foundation may establish badges and honorary medals and award them, together with other prizes and distinctions, to natural and legal persons of merit to the Foundation.

Aims and principles of the Foundation's activity

§ 6

The aims of the Foundation are:

  1. Activity for peace.
  2. Humanitarian activity.
  3. Activity for the protection of life and health.
  4. Initiating, promoting and supporting anti-crisis action, emergency assistance, and social and health rehabilitation.
  5. Assistance to the victims of disasters, natural catastrophes, armed conflicts and wars, in the country and abroad.

§ 7

The Foundation pursues its aims through:

  1. unpaid public benefit activity;
  2. paid public benefit activity;
  3. organising various forms of activity in the pursuit of the statutory aims of the Foundation;
  4. cooperation with persons and institutions in the pursuit of the statutory aims of the Foundation;
  5. other action conducive to the pursuit of the statutory aims of the Foundation.

§ 8

In order to achieve its aims, the Foundation may support the activity of other persons and institutions where it converges with its own aims.

Assets and income of the Foundation

§ 9

  1. The assets of the Foundation consist of its founding fund in the amount of PLN 1,000 (one thousand zloty) and other property acquired by the Foundation in the course of its activity.

§ 10

The income of the Foundation may come in particular from:

  1. donations, inheritances and bequests;
  2. subsidies, grants and endowments;
  3. income from public collections and public events;
  4. income from the assets of the Foundation.

§ 11

  1. Income from subsidies, grants, donations, inheritances and bequests may be used to pursue the aims of the Foundation only with due respect for the will of the heirs or donors.
  2. In matters of accepting donations and inheritance, the declarations required by law are made by the Management Board of the Foundation.
  3. Where the Foundation is called to inherit, its Management Board makes a declaration of acceptance of the inheritance with the benefit of inventory.

Authorities of the Foundation

§ 12

  1. The authorities of the Foundation are:
    a) the Foundation Council,
    b) the Management Board of the Foundation.
  2. Members of the Foundation Council receive no remuneration for taking part in the work of that body, other than reimbursement of documented expenses connected with that participation, including travel costs.

The Foundation Council

§ 13

  1. The Foundation Council is the constituting, controlling and opinion-giving body of the Foundation.
  2. The Foundation Council consists of one to three members.
  3. The members of the first Council are appointed by the founder. Subsequent members of the Council, in place of persons who have ceased to hold that function or in order to enlarge the Council, are appointed by decision of the Council.
  4. In particularly justified cases, a member of the Council may be dismissed, and thereby deprived of membership of the Council, by a resolution adopted unanimously by the remaining members of the Foundation Council.
  5. Membership of the Foundation Council ceases upon written resignation from membership or upon the death of the member.
  6. The Council elects a Chairperson from among its members. The Chairperson directs the work of the Council, represents it externally, and convenes and chairs its meetings.

§ 14

  1. The Foundation Council meets at least once a year.
  2. The Foundation Council is convened by the Chairperson on their own initiative or at the written request of the Management Board or of the founder.
  3. The Foundation Council takes decisions in the form of resolutions, by simple majority of votes; in the case of an equal number of votes, the vote of the Chairperson decides.

§ 15

The tasks of the Council include in particular:

  1. Appointing and dismissing the President and the members of the Management Board.
  2. Deciding on the employment of members of the Management Board and setting their remuneration.
  3. Assessing the work of the Management Board, approving annual reports or the balance sheet, and granting discharge to the members of the Management Board.
  4. Controlling the current activity of the Management Board of the Foundation.
  5. Setting the main directions of the Foundation's activity.
  6. Supervising the activity of the Foundation.
  7. Taking decisions on merger with another foundation or on the liquidation of the Foundation.

§ 16

In order to carry out its tasks, the Foundation Council is entitled to:

  1. demand from the Management Board the presentation of any documents concerning the activity of the Foundation;
  2. carry out an audit of the assets and a financial control of the Foundation.

The Management Board of the Foundation

§ 17

  1. The Management Board of the Foundation consists of one to five members appointed by the Foundation Council for a three-year term; the first Management Board is appointed by the founder.
  2. The function of a member of the Management Board may be held for more than one term.
  3. The Foundation Council appoints the President of the Management Board; the first President of the Management Board is appointed by the founder.
  4. The Management Board as a whole, or individual members of it, may be dismissed by the Foundation Council before the end of the term.

§ 18

  1. The Management Board directs the activity of the Foundation and represents it externally.
  2. The tasks of the Management Board include in particular:
    a) adopting annual plans of activity of the Foundation and financial plans,
    b) adopting internal rules,
    c) managing the assets of the Foundation,
    d) setting the level of employment and the funds for the remuneration of the Foundation's staff,
    e) accepting donations, inheritances and bequests, subsidies and grants,
    f) taking decisions in all matters not assigned to the competence of other bodies.
  3. The Management Board takes decisions at its meetings in the form of resolutions, by simple majority of the votes of the members present at the meeting.
  4. All members of the Management Board must be notified of a meeting.
  5. The Management Board may appoint attorneys-in-fact to direct a separate sphere of matters belonging to the tasks of the Foundation.
  6. Each year, by 30 September, the Management Board is obliged to submit to the Foundation Council an annual report on the activity of the Foundation.

Manner of representation

§ 19

  1. A declaration of will on behalf of the Foundation may be made by each member of the Management Board acting alone.

Amendment of the statute

§ 20

Amendments to the statute of the Foundation are made by the Foundation Council.

Merger with another foundation

§ 21

  1. The Foundation may merge with another foundation in order to pursue its aims effectively.
  2. A merger with another foundation may not take place if, as a result, the aim of the Foundation could be substantially changed.

§ 22

In matters of merger with another foundation, the Foundation Council is competent, and its decisions are taken by unanimous resolution.

Liquidation of the Foundation

§ 23

  1. The Foundation is liquidated where the aims for which it was established have been achieved, or where its financial means and assets have been exhausted.
  2. The liquidators of the Foundation are appointed and dismissed by the Foundation Council.

§ 24

The decision on liquidation is taken by the Foundation Council by unanimous resolution.

§ 25

The financial means and assets remaining after the liquidation of the Foundation may, by resolution of the Foundation Council, be assigned to foundations operating in the Republic of Poland with similar aims.

Statut Fundacji United Peace Organisation

Postanowienia ogólne

§ 1

  1. Fundacja pod nazwą United Peace Organisation, zwana dalej Fundacją, ustanowiona przez: Adila Abdel Aati, zwanego dalej fundatorem, aktem notarialnym sporządzonym przez notariusz Alinę Cytryńską, w kancelarii notarialnej w Warszawie przy Al. Solidarności 155 lok. 5, 00-877 Warszawa, w dniu 20 maja 2022 r., działa na podstawie przepisów prawa polskiego oraz niniejszego statutu.
  2. Fundacja jest apolityczna i nie związana z żadnym wyznaniem.

§ 2

Fundacja ma osobowość prawną.

§ 3

Siedzibą Fundacji jest miasto stołeczne Warszawa.

§ 4

  1. Terenem działalności Fundacji jest obszar Rzeczypospolitej Polskiej, przy czym w zakresie niezbędnym dla właściwego realizowania celów może ona prowadzić działalność także poza granicami Rzeczypospolitej Polskiej.

§ 5

Fundacja może ustanawiać odznaki, medale honorowe i przyznawać je wraz z innymi nagrodami i wyróżnieniami osobom fizycznym i prawnym zasłużonym dla Fundacji.

Cele i zasady działania Fundacji

§ 6

Celem Fundacji jest:

  1. Działalność na rzecz pokoju.
  2. Działalność humanitarna.
  3. Działalność na rzecz ochrony życia i zdrowia.
  4. Inicjowanie, promowanie i wspieranie akcji antykryzysowych, pomocy doraźnej, rehabilitacji społecznej i zdrowotnej.
  5. Pomoc ofiarom katastrof, klęsk żywiołowych, konfliktów zbrojnych i wojen w kraju i za granicą.

§ 7

Fundacja realizuje swoje cele poprzez:

  1. działania nieodpłatne pożytku publicznego;
  2. działania odpłatne pożytku publicznego;
  3. organizowanie rozmaitych form aktywności w zakresie realizacji celów statutowych Fundacji;
  4. współpracę z osobami i instytucjami w zakresie realizacji celów statutowych Fundacji;
  5. inne działania sprzyjające realizacji statutowych celów Fundacji.

§ 8

Dla osiągnięcia swych celów Fundacja może wspierać działalność innych osób i instytucji zbieżną z jej celami.

Majątek i dochody Fundacji

§ 9

  1. Majątek Fundacji stanowi jej fundusz założycielski w kwocie 1000 (tysiąca) złotych oraz inne mienie nabyte przez Fundację w toku działania.

§ 10

Dochody Fundacji pochodzić mogą w szczególności z:

  1. darowizn, spadków, zapisów;
  2. dotacji i subwencji oraz grantów;
  3. dochodów ze zbiórek i imprez publicznych;
  4. dochodów z majątku Fundacji.

§ 11

  1. Dochody pochodzące z dotacji, subwencji, darowizn, spadków i zapisów mogą być użyte na realizację celów Fundacji tylko z poszanowaniem woli spadkobierców lub donatorów.
  2. W sprawach przyjęcia darowizn i dziedziczenia oświadczenia wymagane przepisami prawa składa Zarząd Fundacji.
  3. W przypadku powołania Fundacji do dziedziczenia jej Zarząd składa oświadczenie o przyjęciu spadku z dobrodziejstwem inwentarza.

Władze Fundacji

§ 12

  1. Władzami Fundacji są:
    a) Rada Fundacji,
    b) Zarząd Fundacji.
  2. Członkowie Rady Fundacji nie pobierają wynagrodzenia z tytułu udziału w pracach tego organu, z wyjątkiem zwrotu udokumentowanych wydatków związanych z uczestnictwem w pracach tych organów, w tym kosztów podróży.

Rada Fundacji

§ 13

  1. Rada Fundacji jest organem stanowiącym, kontrolnym i opiniującym Fundacji.
  2. Rada Fundacji składa się z jednego do trzech członków.
  3. Członków pierwszego składu Rady powołuje Fundator. Następnych członków Rady na miejsce osób, które przestały pełnić tę funkcję, lub dla rozszerzenia składu Rady, powołuje swą decyzją Rada.
  4. W szczególnie uzasadnionych przypadkach odwołanie członka Rady i przez to pozbawienie go członkostwa w Radzie może nastąpić w wyniku uchwały podjętej jednogłośnie przez pozostałych członków Rady Fundacji.
  5. Członkostwo w Radzie Fundacji ustaje w przypadku pisemnej rezygnacji z członkostwa lub śmierci członka Rady.
  6. Rada wybiera ze swego grona Przewodniczącego Rady. Przewodniczący Rady kieruje pracami Rady, reprezentuje ją na zewnątrz oraz zwołuje i przewodniczy zebraniom Rady.

§ 14

  1. Rada Fundacji zbiera się co najmniej raz w roku.
  2. Radę Fundacji zwołuje Przewodniczący Rady z własnej inicjatywy albo na wniosek Zarządu lub Fundatora, zgłoszony na piśmie.
  3. Rada Fundacji podejmuje decyzje w formie uchwał — zwykłą większością głosów; w razie równej liczby głosów decyduje głos Przewodniczącego.

§ 15

Do zadań Rady należy w szczególności:

  1. Powoływanie i odwoływanie Prezesa i członków Zarządu.
  2. Podejmowanie decyzji o zatrudnieniu członków Zarządu i ustalanie ich wynagrodzenia.
  3. Ocena pracy Zarządu, przyjmowanie corocznych sprawozdań lub bilansu i udzielanie członkom Zarządu absolutorium.
  4. Kontrolowanie bieżącej działalności Zarządu Fundacji.
  5. Wytyczanie głównych kierunków działalności Fundacji.
  6. Nadzór nad działalnością Fundacji.
  7. Podejmowanie decyzji o połączeniu z inną Fundacją lub o likwidacji Fundacji.

§ 16

Rada Fundacji w celu wykonania swych zadań jest uprawniona do:

  1. żądania od Zarządu Fundacji przedstawienia wszelkich dokumentów dotyczących działalności Fundacji;
  2. dokonywania rewizji majątku oraz kontroli finansowej Fundacji.

Zarząd Fundacji

§ 17

  1. Zarząd Fundacji składa się z jednego do pięciu członków powoływanych przez Radę Fundacji na trzyletnią kadencję, zaś pierwszy Zarząd powołuje fundator.
  2. Funkcję członka Zarządu można pełnić przez więcej niż jedną kadencję.
  3. Rada Fundacji powołuje Prezesa Zarządu, zaś pierwszego Prezesa Zarządu powołuje fundator.
  4. Zarząd Fundacji w całości lub poszczególni jego członkowie mogą być odwołani przez Radę Fundacji przed upływem kadencji.

§ 18

  1. Zarząd kieruje działalnością Fundacji i reprezentuje ją na zewnątrz.
  2. Do zadań Zarządu należy w szczególności:
    a) uchwalanie rocznych planów działania Fundacji oraz planów finansowych,
    b) uchwalanie regulaminów,
    c) sprawowanie zarządu majątkiem Fundacji,
    d) ustalanie wielkości zatrudnienia i wysokości środków na wynagrodzenia pracowników Fundacji,
    e) przyjmowanie darowizn, spadków i zapisów, subwencji i dotacji,
    f) podejmowanie decyzji we wszelkich sprawach nieprzekazanych do kompetencji innych organów.
  3. Zarząd podejmuje decyzje na posiedzeniach w formie uchwał — zwykłą większością głosów jego członków obecnych na posiedzeniu Zarządu.
  4. O posiedzeniu muszą być powiadomieni wszyscy członkowie Zarządu.
  5. Zarząd może powoływać pełnomocników do kierowania wyodrębnioną sferą spraw należących do zadań Fundacji.
  6. Zarząd co roku, do dnia 30 września, zobowiązany jest przedkładać Radzie Fundacji roczne sprawozdanie z działalności Fundacji.

Sposób reprezentacji

§ 19

  1. Oświadczenia woli w imieniu Fundacji może składać każdy członek Zarządu samodzielnie.

Zmiana statutu

§ 20

Zmian w statucie Fundacji dokonuje Rada Fundacji.

Połączenie z inną fundacją

§ 21

  1. Fundacja może się połączyć z inną fundacją dla efektywnego realizowania swoich celów.
  2. Połączenie z inną fundacją nie może nastąpić, jeżeli w jego wyniku mógłby ulec istotnej zmianie cel Fundacji.

§ 22

W sprawach połączenia z inną Fundacją właściwa jest Rada Fundacji, przy czym jej decyzje zapadają w drodze jednomyślnej uchwały.

Likwidacja Fundacji

§ 23

  1. Fundacja ulega likwidacji w razie osiągnięcia celów, dla których została ustanowiona, lub w razie wyczerpania się jej środków finansowych i majątku.
  2. Likwidatorów Fundacji powołuje i odwołuje Rada Fundacji.

§ 24

Decyzję o likwidacji podejmuje Rada Fundacji w drodze jednomyślnej uchwały.

§ 25

Środki finansowe i majątek pozostały po likwidacji Fundacji mogą zostać przeznaczone mocą uchwały Rady Fundacji na rzecz działających w Rzeczypospolitej Polskiej fundacji o zbliżonych celach.
